SCHEDULE A
SUBSCRIPTION TERMS
These terms (the “Subscription Terms”) apply to the order form (the “Order Form”) through which you, either personally or as a representative of an entity placing the order (“Customer”) are obtaining a subscription to use, or a free trial of, BidBow Inc.’s software solution for preparing construction project bids and related services. These Subscription Terms are completed and qualified by the license agreement (“License”) found at https://bidbow.com/license-agreement; together, the Order Form, the Subscription Terms and the License govern the relationship between BidBow and Customer. All capitalized terms not defined herein have the meaning given to such terms in the License.
By checking the “accept Subscription Terms” and “accept License Agreement" boxes on the Order Form, you (a) accept these Subscription Terms and the License, and agree that Customer is legally bound by their terms; and (b) represent and warrant that: (i) you are of legal age to enter into a binding agreement; and (ii) if Customer is a corporation, governmental organization, or other legal or business entity, you have the right, power, and authority to enter into these Subscription Terms and the License on behalf of Customer and bind Customer to its terms.
Number of Users | Customer may only permit the number of Users indicated on the Order Form to install and use the Software. BidBow provides one active license for each User. |
Number of Machines | Each active license permits installation of the Software on one computer only; the Software may be transferred to a new computer twice during a one-year period, provided that the license is deactivated and the Software is deleted from the computer it was previously used on. |
Free Trial | If Customer is participating in a free trial, it will be able to use the Software for 30 days from the date Customer registered for the free trial, after which the license will expire, and Customer will need to subscribe to use the Software. |
Subscription – Initial and Renewal Term | If Customer has purchased a subscription, the initial term is for either one month or 12 months, as chosen by Customer on the Order Form, from the date the first fee payment is received by BidBow. The subscription will automatically renew for a period of one month, for monthly subscriptions, or 12 months, for yearly subscriptions, as chosen by Customer on the Order Form, at the end of the initial term and each renewal term, unless earlier terminated as provided in the License. Customer may terminate its subscription at any time by cancelling through its online account, and the subscription will expire at the end of the then-current term. BidBow will not refund any fees upon cancellation of the subscription by Customer. |
Billing Period and Payments | For Customers who have a monthly subscription, BidBow will notify Customer at least 3 days in advance of the end of the current term. By placing an order for a monthly subscription, Customer authorizes BidBow to charge Customer’s credit card the applicable monthly fees until the subscription is terminated as provided in the License. For Customers who have a yearly subscription, Bidbow will notify Customer at least 30 days in advance of the end of the current term. If Customer has chosen to pay license fees through bank transfers, Customer must ensure that payment reaches BidBow no later than the end of the current term for the renewal to become effective. By placing an order for a yearly subscription and choosing the credit card payment option, Customer authorizes BidBow to charge Customer’s credit card the applicable yearly subscription fees until the subscription is terminated as provided in the License. |
